There are two NagiosXI VM A and B(new 2012), when export configuration A then import to B, the sync status shows "out of sync", is that because different version?

Have you applied configuration yet? If you do, and they remain "out of sync", there most likely is a configuration issue - check the write/verify config files option in the ccm under "tools". Post the errors here in a code wrap.
